1. Agreement to Terms

By accessing or using SmokeSync AI's website, services, and AI phone agent platform (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.

These Terms apply to all visitors, users, shop owners, and others who access or use the Services. By using the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Services

SmokeSync AI provides AI-powered phone agent services for smoke shop businesses. Our Services include:

  • AI phone agents that answer incoming calls to your business phone number.
  • Natural language processing to handle customer inquiries about hours, products, availability, and store policies.
  • Optional SMS follow-up messaging with caller consent.
  • Call analytics, transcripts, and performance reporting via our dashboard.
  • Account management tools for configuring your AI agent.

3. Account Registration

To use certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Maintain the security of your account credentials and not share your password.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable federal, state, local, or international law or regulation.
  • Provide false or misleading information to your customers through the AI agent.
  • Use the Services for any illegal, fraudulent, or deceptive purposes.
  • Attempt to interfere with, compromise, or disrupt the Services or our servers and networks.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Services.
  • Use the Services to send unsolicited marketing messages or spam via SMS.
  • Resell, sublicense, or redistribute the Services without our written consent.

5. Shop Content & Configuration

You are responsible for the accuracy of all information you provide to configure your AI agent, including but not limited to store hours, product listings, pricing, and policies. SmokeSync AI is not liable for incorrect information conveyed to customers as a result of inaccurate configuration data.

You retain ownership of all content you provide to us. By providing content, you grant us a limited license to use, process, and display that content as necessary to provide the Services.

6. Payments & Billing

Certain features of the Services require a paid subscription. By subscribing to a paid plan, you agree to:

  • Pay all applicable fees as described at the time of purchase.
  • Provide valid payment information and authorize us to charge your payment method on a recurring basis.
  • Fees are non-refundable except as expressly stated in these Terms or required by law.

We reserve the right to change our pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

7. Cancellation & Termination

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period.
  • Your AI agent will stop handling calls once the subscription expires.
  • You may export your data for up to 30 days after cancellation.

We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation.

8. Intellectual Property

The Services, including all software, AI models, algorithms, designs, text, graphics, and other content provided by SmokeSync AI, are owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without our prior written consent.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

  • The Services will be uninterrupted, timely, secure, or error-free.
  • The AI agent responses will be 100% accurate or appropriate in all situations.
  • The Services will meet all of your specific requirements.

AI-generated responses are based on the information you provide and the capabilities of our AI models. While we strive for accuracy, AI systems may occasionally produce incorrect or unexpected responses.

10. Limitation of Liability

To the maximum extent permitted by law, SmokeSync AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Services.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless SmokeSync AI and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. SMS Messaging Terms

If enabled, SmokeSync AI may send SMS messages to callers strictly in response to user-initiated interactions and only after explicit verbal consent is obtained during a live phone call.

SMS messages are informational and transactional in nature and may include store hours, product availability, location details, and other customer service information requested by the caller.

Message frequency varies based on user interaction. Typically, one message is sent per request. Message and data rates may apply depending on the recipient's mobile carrier plan.

Users may opt out at any time by replying STOP to any SMS message received. After opting out, no further SMS messages will be sent unless the user provides new consent during a future interaction. Users may reply HELP for assistance.

Consent to receive SMS messages is not a condition of any purchase or service.

Supported carriers may include AT&T, T-Mobile, Verizon, Sprint, and other major U.S. carriers. Carriers are not liable for delayed or undelivered messages.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
